Statutes of the SADC SPIRIT Organization
ENGPreamble
Today, the whole world is grouped into an association or community. It is therefore difficult today to develop and be more competitive if you are not in community. The union facilitates the movement of goods and people, the sale of products and many other exchanges that can promote well-being.
SADC is a large community with an estimated population of about 333 million people in fifteen (15) countries.
Unlike some other organizations, the populations of the countries that make up the SADC largely ignore what it is and what it pursues as goals. And further, I will say that people do not really know what this organization serves or the benefits that flow from it.
However, with such a demographics, the SADC appears as a large market for a flourishing trade and business across its geographical space. Only, before we can benefit from this great market, we must first create the SADC spirit, in order to arouse the desire of all the inhabitants of this sub-region to live together and develop together.
Hence, the reason for existence of this organization that I named SADC SPIRIT.
ARTICLE 1 - NAME
It is based between the signatories of these statutes, all from one of the SADC member countries, an African subregional non-governmental organization entitled SADC SPIRIT.
ARTICLE 2 - OBJECTIVE
The SADC SPIRIT is a subregional non-governmental organization created by the Congolese writer and entrepreneur Tyhnaux BITI LINO with a dual objective:
- Inform the populations of the member countries about what SADC is, its objectives pursued and its contribution in their daily lives;
- To make the populations of the member countries aware of the possibility of a large market of more than 333 million people, which could favor the development of the populations concerned.
ARTICLE 3 - HEAD OFFICE
The head office of SADC SPIRIT is based in Lubumbashi in the Democratic Republic of Congo, the largest populated country in SADC.
But at any time, he can be moved to another SADC country.
ARTICLE 4 - DURATION
The duration of the organization is unlimited.
ARTICLE 5 - MEMBERS
The sub regional non-governmental organization SADC SPIRIT is composed of different types of members:
- Honorary members;
- natural or legal members;
- sympathizing members;
- Members engaged.
a) Honorary Member
Honorary member, any Head of State or former Head of State of one of the SADC Member States, any Prime Minister and Minister in office as well as any African personality of the SADC (sportsman, politician, artist or scientist) who has openly and publicly declared support for SADC SPIRIT.
b) Natural or legal member
A natural or legal member is a human being from one of the 15 SADC member countries.
c) Supportive member
A sympathizing member is anyone who is not from SADC, but has declared openly to support SADC SPIRIT. This support must be manifested by a contribution of any kind.
d) Member engaged
A committed member is any ex-officio member who has subscribed by completing the online subscription form, and who decides to participate in the development of the association, in particular by participating in voluntary contributions and donations for the proper functioning of the association.
ARTICLE 6 - ADMISSION AS ENGAGE MEMBER
The SADC SPIRIT sub-regional non-governmental organization is open to all natural members, provided they are of age.
ARTICLE 7 - CONTRIBUTIONS
Any committed member is expected to make a commitment to pay an annual fee equivalent to two € 2, or US $ 4. This amount is the same regardless of where it is in the world.
The contribution of honor and sympathizer members is free. It depends on the person concerned.
However, any ex-officio member may provide financial assistance to the organization at any time of the year and at the height he desires.
ARTICLE 8. - RADIATIONS
Radiation exists in relation to the qualities of members.
A) Honorary member and sympathizer
The qualities of honorary members and sympathizers can be lost by:
- Involvement of the honorary member in a sexual scandal, misappropriation of money or any other public offense;
- The death ;
B) Member by right
The status of ex-officio member is never lost because it is natural.
However, regarding active members of the board of directors the delisting conditions are detailed in Article 11.
ARTICLE 9. - AFFILIATION
SADC SPIRIT respects the UN Charter signed in San Francisco on June 26, 1945 and pledges to respect it to the letter.
She is also free to sign partnerships with non-governmental organizations and organizations around the world, and she will defend the same values.
The decision will therefore rest with the Board of Directors sitting in Lubumbashi, DRC.
ARTICLE 10. - RESOURCES
The resources of the association include:
1) The amount of the dues of the ex-officio members;
2) The financial contributions of honorary members and sympathizers;
3) The gifts and legacies of those who wish it.
ARTICLE 11 - ORDINARY GENERAL ASSEMBLY
As a first step, for reasons of feasibility, the ordinary general assembly will include all the committed members wherever they are. It will be done once a year, the date of May 6 on the Internet video conference.
One month before the date of May 6th, an email containing the link of the video-conference and the agenda will be sent to any engaged member.
The General Secretary of SADC SPIRIT, assisted by the members of the council, presides over the assembly and exposes the moral situation or the activity of the organization.
The treasurer reports on his management and submits the annual accounts (balance sheet, income statement and appendix) to the approval of the meeting.
The General Assembly sets the amount of the annual membership fees and the entrance fee to be paid by the different categories of members.
Only the items on the agenda can be discussed.
The decisions of general meetings are binding on all members, including absent or represented.
ARTICLE 12 - EXTRAORDINARY GENERAL ASSEMBLY
If necessary or at the request of at least half of the registered members, the Secretary-General may convene an extraordinary general meeting. The convening procedures are the same as for the ordinary general meeting.
ARTICLE 13 - BOARD OF DIRECTORS
The organization is headed by a six-member board of directors elected for a term of office depending on the function of the member, and determined at its inception by the Secretary General of the organization.
The board of directors is composed of:
1) The Secretary General
2) The Deputy Secretary General
3) The treasurer
4) The rapporteur
5) The manager
6) The person in charge of relations with organizations
The respective functions, powers and powers of the members of the bureau will be specified in the rules of procedure.
ARTICLE 14 - INDEMNITIES
All functions, including those of the board and the board, are free and voluntary at first.
These provisions will be fine-tuned in the internal regulations (nature of costs, missions, quality of beneficiaries, etc.)
ARTICLE - 15 - INTERNAL RULES OF PROCEDURE
Internal regulations will be established by the Secretary General and approved by the Board of Directors.
This possible settlement is intended to fix the various points not foreseen or not clarified by the present statutes, in particular those which relate to the internal administration of the organization.
ARTICLE - 16 - OTHER PROVISIONS
At any time, on the proposal of the Secretary General of the organization, these statutes may be amended. In case of amendment, the Board of Directors will approve and the result will be presented to the general meeting.

Préambule
Aujourd’hui, le monde entier se regroupe en association ou communauté. Il est donc difficile aujourd’hui de se développer et d’être plus compétitif si on n’est pas en communauté. L’union facilite la circulation des biens et des personnes, la vente des produits et beaucoup d’autres échanges pouvant favoriser le bien-être.
La SADC est une grande communauté avec une population estimée à environ 333 millions d’habitants répartis en quinze (15) pays.
Contrairement à certaines autres organisations, les populations des pays qui composent la SADC ignorent en grande partie ce qu’elle est et ce qu’elle poursuit comme objectifs. Et plus loin, je dirai que les populations ne savent pas trop à quoi cette organisation sert ni les bénéfices qui en découlent.
Or, avec une telle démographie, la SADC apparait donc comme un grand marché pour un commerce et des affaires florissants à travers son espace géographique. Seulement, avant de pouvoir arriver à bénéficier de ce grand marché, nous devons d’abord créer l’esprit SADC, afin de susciter l’envie chez tous les habitants de cette sous-région de vivre ensemble et de se développer ensemble.
D’où, la raison d’exister de cette organisation que j’ai nommé SADC SPIRIT.
ARTICLE PREMIER - DENOMINATION
Il est fondé entre les signataires de ces présents statuts, tous originaires d’un des pays membres de la SADC, une organisation non gouvernementale sous régionale africaine ayant pour titre SADC SPIRIT.
ARTICLE
La SADC SPIRIT est une organisation non gouvernementale sous régionale créée par l’écrivain et entrepreneur congolais Tyhnaux BITI LINO avec un double objectif :
- Informer les populations des pays membres sur ce qu’est la SADC, ses objectifs poursuivis et son apport dans leur vécu quotidien ;
- Conscientiser les populations des pays membres sur la possibilité d’existence d’un grand marché de plus de 333 millions de personnes, et qui pourrait favoriser le développement des populations concernées.
ARTICLE
Le siège social de la SADC SPIRIT est basé à Lubumbashi en République démocratique du Congo, le pays le plus grand et peuplé de la SADC.
Mais à tout moment, il peut être déplacé dans un autre pays de la SADC.
ARTICLE 4 – DUREE
La durée de l’organisation est illimitée.
ARTICLE
L'organisation non gouvernementale sous régionale SADC SPIRIT est composée de différents types des membres :
- Membres d’honneur ;
- Membres naturels ou de droit ;
- Membres sympathisants ;
- Membres engagés.
a) Membre d’honneur
Est membre d’honneur, tout chef d’Etat ou Ex-chef d’Etat d’un des pays membres de la SADC, tout premier ministre et ministre en fonction ainsi que toute personnalité africaine de la SADC (sportif, homme politique, artiste ou scientifique) ayant déclaré ouvertement et publiquement soutenir la SADC SPIRIT.
b) Membre naturel ou de droit
Est membre naturel ou de droit tout être humain originaire d’un des quinze pays membres de la SADC.
c) Membre sympathisant
Est membre sympathisant toute personne n’étant pas originaire de la SADC, mais ayant déclaré ouvertement soutenir la SADC SPIRIT. Ce soutien doit se manifester par une contribution de n’importe quelle nature.
d) Membre engagé
Est membre engagé tout membre de droit ayant souscrit en remplissant le formulaire de souscription en ligne, et qui décide de participer au développement de l’association, notamment en participant aux cotisations et dons volontaires pour la bonne marche de l’association.
ARTICLE
L’organisation non gouvernementale sous régionale SADC SPIRIT est ouverte à tout membre naturel, à condition qu’il soit majeur.
ARTICLE
Tout membre engagé est censé prendre l’engagement de verser une cotisation annuelle équivalant à deux euros 2 €, soit 4 $US. Ce montant est le même, quel que soit l’endroit où il se trouverait dans le globe.
La contribution des membres d’honneur et sympathisant est libre. Elle dépend de la personne concernée.
Cependant, tout membre de droit peut apporter son aide financière à l’organisation à n’importe quel moment de l’année et à la hauteur qu’il désire.
ARTICLE
Les radiations existent par rapport aux qualités de membres.
A) Membre d’honneur et sympathisant
Les qualités de membres d’honneur et sympathisant peuvent se perdre par :
- Implication du membre d’honneur dans un scandale sexuel, détournement d’argent ou tout autre délit publiquement connu ;
- Le décès ;
B) Membre de droit
La qualité de membre de droit ne se perd jamais, car elle est naturelle.
Cependant, concernant les membres engagés actifs du conseil d’administration les conditions de radiation sont détaillées dans l’article 11.
ARTICLE
La SADC SPIRIT respecte la Charte de l’ONU signée à San Francisco le 26 juin 1945 et s’engage à la respecter à la lettre.
Elle est libre de signer également des partenariats avec des associations et organisations non gouvernementales du globe, et qu’elle jugera défendre les mêmes valeurs qu’elle.
La décision reviendra donc au Conseil d’administration siégeant à Lubumbashi en RDC.
ARTICLE
Les ressources de l'association comprennent :
1) Le montant des cotisations des membres de droit;
2) Les apports financiers des membres d’honneur et sympathisants ;
3) Les dons et legs des personnes qui le souhaiteraient.
ARTICLE
Dans un premier temps, pour des raisons de faisabilité, l’assemblée générale ordinaire comprendra tous les membres engagés où qu’ils soient. Elle se fera une fois l’an, en la date du 06 mai sur Internet en vidéo-conférence.
Un mois avant la date du 06 mai, un mail contenant le lien de la vidéo-conférence et l’ordre du jour sera envoyé à tout membre engagé.
Le Secrétaire Général de la SADC SPIRIT, assisté des membres du conseil, préside l'assemblée et expose la situation morale ou l’activité de l'organisation.
Le trésorier rend compte de sa gestion et soumet les comptes annuels (bilan, compte de résultat et annexe) à l'approbation de l'assemblée.
L’assemblée générale fixe le montant des cotisations annuelles et du droit d’entrée à verser par les différentes catégories de membres.
Ne peuvent être abordés que les points inscrits à l'ordre du jour.
Les décisions des assemblées générales s’imposent à tous les membres, y compris absents ou représentés.
ARTICLE
Si besoin y est ou sur la demande d’au moins la moitié des membres engagés inscrits, le Secrétaire-Général peut convoquer une assemblée générale extraordinaire. Les modalités de convocation sont les mêmes que pour l’assemblée générale ordinaire.
ARTICLE
L’organisation est dirigée par un conseil d’administration de six membres élus pour un mandat d’une durée dépendant de la fonction du membre, et déterminée à ses débuts par le Secrétaire Général de l’organisation.
Le conseil d’administration est composé de :
1) Le Secrétaire Général
2) Le vice-secrétaire Général
3) Le trésorier
4) Le rapporteur
5) Le manager
6) Le chargé des relations avec les organisations
Les fonctions, attributions et pouvoirs respectifs des membres du bureau seront précisés dans le règlement d’ordre intérieur.
ARTICLE 14 – INDEMNITES
Toutes les fonctions, y compris celles des membres du conseil d’administration et du bureau, sont gratuites et bénévoles dans un premier temps.
Ces dispositions seront affinées dans le règlement d’ordre intérieur (nature des frais, des missions, qualité des bénéficiaires, etc.)
ARTICLE – 15 - REGLEMENT D’ORDRE INTERIEUR
Un règlement intérieur sera établi par le Secrétaire Général et approuvé par le Conseil d'administration.
Ce règlement éventuel est destiné à fixer les divers points non prévus ou non élucidés par les présents statuts, notamment ceux qui ont trait à l'administration interne de l'organisation.
ARTICLE - 16 – AUTRES DISPOSITIONS
A tout moment, sur proposition du Secrétaire Général de l’organisation, ces présents statuts peuvent être amandés. En cas d’amendement, le Conseil d’administration approuvera et le résultat sera présenté à l’assemblée générale.
